Contributor License Agreement (CLA)
This Contributor License Agreement ("CLA") applies to every contribution accepted into any project of the Celestia Island group (each, "the Project"), including all repositories under the Celestia Island organization that adopt this CLA. Each Project is licensed under the Business Source License 1.1 with a Change Date of 2030-01-01, after which it converts to the Change License stated in its LICENSE (today SySL-1.0 for most projects).
You must accept this CLA before your contribution can be merged. Accepting the CLA is a one-time action per contributor (and per employer, if you are contributing on behalf of a company).
The CLA exists for two reasons only: (1) to confirm you have the right to contribute what you submit, and (2) to let each Project keep its planned licensing path and adapt its licensing in the future without having to track down every past contributor. It does not lower the review bar, and it does not obligate the Project to accept any contribution.
1. How to sign
- Individual contributors. Add a Signed-off-by line to each of your commits (pass -s to git commit). The sign-off is your electronic acceptance of this CLA, equivalent to the Developer Certificate of Origin (DCO) plus the grants in Section 3 below:
Signed-off-by: Jane Doe <jane@example.com>
- Corporate contributors. If you are contributing on behalf of an employer, the employer must also sign the Corporate CLA in Section 6 and return it to the Licensor at <contact@celestia.world> (or the contact in LICENSE). A Signed-off-by from an employee is valid only after the employer's Corporate CLA is on file.
2. Definitions
- "You" / "Contributor" means the individual or entity accepting this CLA.
- "Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the Project for inclusion. "Intentionally submitted" includes code and documentation you send via pull request, commit, issue, review comment, or equivalent channel, but excludes work that is clearly marked by You as "Not a Contribution."
- "Licensor" / "maintainers" means the copyright holder of the Project (Celestia Island / langyo) and those designated to act on its behalf.
3. Grant of copyright license
Subject to this CLA, You grant the Licensor a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, distribute, and otherwise exploit your Contribution, including the right to re-license the Contribution (on its own or together with the Project) under the Business Source License 1.1, the Synthetic Source License 1.0 (SySL-1.0), the Apache License 2.0, the MIT License, or any other license chosen by the Licensor, and to authorize the same for downstream recipients.
4. Grant of patent license
Subject to this CLA, You grant the Licensor and recipients of software distributed by the Licensor a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this Section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where the license applies only to those patent claims licensable by You that are necessarily infringed by your Contribution alone or by combination of your Contribution with the Project as it existed when the Contribution was submitted. If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim) alleging that the Contribution, or the Project to which it was submitted, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this CLA for that Contribution or Project terminate as of the date the litigation is filed.
5. Your representations
You represent that:
(a) You authored or otherwise have the right to submit the Contribution;
(b) each Contribution is your original creation (or, if submitted on behalf of a third party, You have the right to submit it on their behalf and have secured the rights required under this CLA);
(c) the Contribution does not, to your knowledge, infringe the intellectual property rights of any third party; and
(d) You are legally entitled to grant the licenses in Sections 3 and 4, and, if your employer(s) have rights to intellectual property that you create, your employer has obtained a waiver or consent for your Contributions, or has signed the Corporate CLA in Section 6.
6. Corporate CLA
If You are contributing on behalf of a company, the company must confirm the following by signing and returning the Corporate CLA block below to <contact@celestia.world>:
Company: ______________________________________________________
Address: ______________________________________________________
Contact name & email: _________________________________________
GitHub organization(s): _______________________________________
The company hereby confirms that it accepts this CLA on behalf of its
employees who submit Contributions to the Project, and grants the licenses
in Sections 3 and 4 for those Contributions.
Authorized signatory: _________________________________________
Title: ________________________________________________________
Date: _________________________________________________________
7. Disclaimer
Except for the express warranties in Section 5, the Contribution is provided "as is", without warranty of any kind. The Licensor is not obligated to provide any support for, or to merge, any Contribution. Merging is always at the sole discretion of the maintainers and remains subject to the contribution policy in CONTRIBUTING.md, which is unchanged by this CLA and unchanged by the license conversion on 2030-01-01.
